Terms and Conditions of Sale – Private Recipe Shop Digital Products

1. Scope and Application

These Terms and Conditions (“Terms”) govern all purchases of digital products (including recipe e‑books, PDF guides, digital cards, and any other downloadable content) made through the Private Recipe Shop website. By placing an order, you (“Customer”) agree to be bound by these Terms. If you do not agree, please do not make a purchase.

2. Product Description and Availability

All products are digital files delivered electronically. We make every effort to ensure that product descriptions, previews, and samples are accurate; however, we do not warrant that they are error‑free. We reserve the right to modify, update, or discontinue any product without prior notice.

3. Pricing and Payment

All prices are listed in the currency shown on the checkout page and are inclusive of any applicable taxes, unless otherwise stated. Payment must be made in full at the time of order via the payment methods provided. We reserve the right to change prices at any time, but such changes will not affect orders already placed.

4. Digital Delivery Policy

Upon successful payment and verification, you will receive a download link to the email address you provided. The link typically becomes available within minutes, but in rare cases may take up to one (1) business day. The link remains valid for 30 days from issuance. After expiration, re‑access may be subject to a reasonable administrative fee. It is your responsibility to ensure your email address is accurate and to check your spam folder. We are not liable for non‑delivery due to incorrect or inactive email addresses.

5. Refund and Cancellation Policy

All sales are final due to the instant‑access nature of digital content. We do not offer refunds or exchanges for change of mind, accidental purchase, or dissatisfaction with content. The only exception is a verifiable technical issue (e.g., broken link or corrupted file), which must be reported within 7 days of purchase. We will investigate and, if confirmed, provide a replacement file. This is our sole remedy.

Customers located in the EU/UK are informed that, by completing the purchase and clicking the download button, they expressly consent to immediate supply of the digital content and thereby waive the 14‑day withdrawal right under applicable distance selling regulations.

Cancellation requests made before the file has been downloaded may be considered within 1 hour of purchase, but we reserve the right to deduct a processing fee (up to 5%) to cover payment gateway costs.

6. Intellectual Property and License

All digital products, including but not limited to text, images, recipes, design, and layout, are the intellectual property of Private Recipe Shop and are protected by copyright laws.

Upon purchase, you are granted a limited, non‑exclusive, non‑transferable, personal license to use the downloaded file for your own private, non‑commercial purposes. You may not:

· Reproduce, redistribute, or sell the file or any part of it;
· Share the download link with others;
· Modify, adapt, or create derivative works for commercial use;
· Upload the file to any public platform.

Any unauthorized use terminates the license immediately and may result in legal action.

7. User Obligations and Prohibited Conduct

You agree to use our products and website only for lawful purposes. You must not:

· Use the content in any way that violates any applicable law;
· Attempt to circumvent any security or access measures;
· Provide false or misleading information during checkout.

8. Disclaimer of Warranties

All digital products are provided “as is” and “as available” without any warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non‑infringement. While we strive to ensure the accuracy of recipes and instructions, we do not guarantee that the results will meet your expectations, nor that the content is free from errors.

9. Limitation of Liability

To the maximum extent permitted by law, Private Recipe Shop and its affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or use, arising out of or in connection with your purchase or use of the products, even if advised of the possibility of such damages. Our total liability to you for any claim arising from these Terms or the products shall not exceed the total amount paid by you for the specific product in question.

10. Indemnification

You agree to indemnify and hold harmless Private Recipe Shop, its owners, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising out of your breach of these Terms or your misuse of the products.

11. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of China, without regard to its conflict of laws principles. Any dispute arising from or relating to these Terms or your purchase shall be submitted to the exclusive jurisdiction of the courts of Zhuhai, China, unless otherwise required by mandatory consumer protection laws in your jurisdiction.

12. Amendments

We reserve the right to update or modify these Terms at any time without prior notice. Any changes will be posted on this page with an updated “Last Updated” date. Continued use of the website or subsequent purchases after such changes constitute your acceptance of the new Terms.

13. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Private Recipe Shop regarding your purchase and supersede all prior communications, whether written or oral.
